These Terms of Service (“Terms”) govern your access to and use of our website at https://vevey.ai, our web application at https://app.vevey.ai, and any other services provided by Vevey (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

You may create, upload, and share content or projects (“User Content”) via the Service. You retain all rights to any projects, games, or other content you create using Vevey.

By submitting or sharing User Content, you grant Vevey a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely in connection with operating and promoting the Service.

You are solely responsible for your User Content and agree not to upload content that infringes or violates the rights of others.

  1. Ownership of Vevey Materials

Vevey and its licensors retain exclusive ownership and all rights, title, and interest in and to the Service and all related software, technology, designs, logos, graphics, and other content provided by Vevey (“Vevey Content”). You agree not to copy, modify, distribute, or create derivative works based on Vevey Content without our express written permission.

  1. Use Restrictions

Except as explicitly permitted in these Terms, you agree not to:

  • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code or underlying structure of the Service.

  • Reproduce, modify, translate, or create derivative works of the Service.

  • Rent, lease, lend, sell, sublicense, or otherwise transfer your access to the Service.

  • Use the Service to build or train a competing product or service.

  • Harvest, scrape, or extract data from the Service.

  • Circumvent, disable, or interfere with security-related features of the Service.

  • Use the Service for any purpose that infringes, misappropriates, or otherwise violates any intellectual property or other rights of any person or entity, or violates any applicable law or regulation.

  • Upload viruses or malicious code or interfere with the operation of the Service.

  1. Feedback

You may provide feedback, suggestions, or ideas about the Service (“Feedback”). You agree that Vevey may use and implement such Feedback without any obligation to compensate or credit you.

  1. Usage Data and AI Training

Vevey may collect and analyze aggregated or de-identified data regarding your use of the Service (“Usage Data”) for purposes such as improving our services, maintaining security, and analytics. Usage Data does not include your User Content.

Vevey does not use your User Content or projects to train AI models without your explicit consent.

  1. Purchases and Subscriptions

Vevey may offer goods, subscription plans, and free trials. When you make a purchase, you agree to provide current, complete, and accurate payment and account information. All fees are non-refundable unless otherwise specified.

Subscription plans may automatically renew unless you cancel before the end of the current billing period. You can manage or cancel your subscription through your account settings.

  1. Beta Services

From time to time, Vevey may offer certain services or features identified as beta, pilot, limited release, or similar (“Beta Services”). You may choose to use Beta Services at your own discretion. Beta Services are provided “as is” without warranties of any kind and may be discontinued at any time.

  1. Promotions

We may offer promotions or discounts from time to time. Such promotions are subject to additional terms and conditions that we will communicate at the time of the offer.

  1. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, for any reason, including if you violate these Terms.

  1. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Vevey disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. You use the Service at your own risk.

  1. Limitation of Liability

To the fullest extent permitted by law, Vevey shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. In no event will Vevey’s aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid Vevey in the six (6) months preceding the event giving rise to the claim.

  1. Indemnification

You agree to indemnify and hold Vevey and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

  1. Export Controls and Compliance

You agree to comply with all applicable export laws and regulations. The Service may not be used in or for the benefit of, or exported or re-exported to, any U.S. embargoed country or any person on U.S. government restricted lists. You also agree not to submit to the Service any content or data that requires government licenses for release or export.

  1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York.

  1. Arbitration Agreement

Agreement to Arbitrate: You and Vevey agree that any disputes or claims arising out of or relating to these Terms or the Service will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert individual claims in small claims court if they qualify.

Prohibition of Class Actions: You and Vevey agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action.

Opt-out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us at info@vevey.ai with your name and a clear statement of your intent to opt out of arbitration.

Procedures: The arbitration will be conducted by the American Arbitration Association (“AAA”) under its rules. The location will be in New York County, New York, unless otherwise agreed.

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes indicates your acceptance of the updated Terms.
